Important Notice

By creating an account or using SensiBook, you agree to these Terms of Service and our Privacy Policy. These Terms include important provisions about dispute resolution, limitations of liability, and your rights and obligations. If you do not agree to these Terms, please do not use our services.

Article 1

Acceptance of Terms

1.1 Agreement to Terms

By accessing or using SensiBook's website, mobile applications, APIs, or any related services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our Platform.

1.2 Authority to Bind

If you are using the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" and "your" will refer to both you individually and the entity you represent.

1.3 Updates to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through prominent notices on the Platform at least 30 days before taking effect. Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms.

Article 2

Description of Services

2.1 Platform Overview

SensiBook is a comprehensive business intelligence platform providing access to Indian company data, including financial statements (Profit & Loss, Balance Sheets, Cash Flow), director information and contacts, shareholding patterns, regulatory filings, business analytics, and related corporate intelligence.

2.2 Data Coverage

Our Platform aggregates and processes data on over 35 Lakh companies and 75 Lakh directors registered in India. We provide detailed financial analysis for over 20 Lakh entities with available regulatory filings. Data is sourced from the Ministry of Corporate Affairs (MCA) and other public regulatory sources.

2.3 Service Features

Features include advanced multi-parameter search filters (100+ criteria), company financial analysis, director network mapping, AI-powered insights, data export capabilities (Excel, PDF), API access for enterprise users, and watchlist tracking. Feature availability varies by subscription plan.

2.4 Service Availability

We strive to maintain 99.9% platform availability. However, we do not guarantee uninterrupted access and reserve the right to modify, suspend, or discontinue any feature or service with reasonable notice. Scheduled maintenance will be communicated in advance when possible.

Article 3

User Accounts

3.1 Registration Requirements

To access premium features, you must create an account by providing accurate, current, and complete registration information. You agree to update your information promptly if it changes. Accounts are for individual use unless an enterprise plan with multiple seats is purchased.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach. We recommend using strong, unique passwords and enabling available security features.

3.3 Account Restrictions

You may not share your account credentials with others, create multiple accounts to circumvent limits, use automated tools to access the Platform without authorization, or attempt to gain unauthorized access to our systems or other users' accounts.

3.4 Account Termination

We may suspend or terminate your account for violation of these Terms, fraudulent activity, non-payment, extended inactivity (24+ months), or if required by law. You may delete your account at any time through your account settings or by contacting support.

Article 4

Subscriptions & Payments

4.1 Subscription Plans

SensiBook offers multiple subscription tiers (Basic, Professional, Enterprise) with varying daily quotas and feature access. Plan details, pricing, and quotas are displayed on our Pricing page. We reserve the right to modify pricing with 30 days notice to existing subscribers.

4.2 Billing & Payment

Subscriptions are billed annually in advance. Payments are processed securely through Razorpay. All prices are displayed in Indian Rupees (INR) and are exclusive of applicable taxes (GST at 18%). You authorize us to charge your selected payment method for all fees incurred.

4.3 Quota System

Access to certain data categories (financials, director contacts, filings) is governed by daily quotas that reset at midnight IST. Unused quota does not carry over. Premium content like verified director contact information requires additional credits as specified in your plan.

4.4 Refund Policy

Due to the digital nature of our services, we generally do not offer refunds for completed subscription periods. However, we may consider refund requests within 7 days of initial subscription if you have not substantially used the service. Contact support for refund inquiries.

4.5 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access until the end of your current billing period. No prorated refunds are provided for early cancellation. Data export features remain available during the cancellation period.

Article 5

Acceptable Use Policy

5.1 Permitted Uses

You may use SensiBook data for legitimate business purposes including: lead generation and sales prospecting, credit assessment and risk management, investment research and due diligence, competitive analysis, vendor and supplier evaluation, compliance and audit activities, and academic research.

5.2 Prohibited Activities

You may NOT: resell, redistribute, or commercially share raw data without authorization; use data for harassment, stalking, or illegal purposes; attempt to reverse-engineer, scrape, or systematically download data beyond your quota; impersonate others or misrepresent your affiliation; use data for spam, phishing, or unsolicited marketing calls.

5.3 Rate Limits & Fair Use

To ensure fair access for all users, we implement rate limits on API calls and data requests. Excessive automated requests, even within quota, may be throttled or blocked. Enterprise API users receive dedicated rate limit allocations as specified in their agreements.

5.4 Export Restrictions

Data exported from SensiBook is for your internal business use only. Bulk exports intended for database creation, competitor product development, or resale are prohibited without written authorization. Exported data must be handled in compliance with applicable data protection laws.

Article 6

Data Accuracy & Disclaimers

6.1 Data Sources

Information on SensiBook is aggregated from publicly available sources including MCA filings, RoC records, stock exchange disclosures, and regulatory databases. We process and structure this data but do not independently verify its accuracy with the source companies.

6.2 No Guarantee of Accuracy

While we strive for data accuracy and employ AI-powered validation, WE DO NOT GUARANTEE that information on the Platform is complete, accurate, current, or error-free. Company filings may contain errors, delays, or omissions in the original source documents.

6.3 Not Professional Advice

SensiBook provides data and analytics tools, NOT financial, legal, investment, or professional advice. You should not rely solely on our data for critical business decisions. Always verify important information from primary sources and consult qualified professionals.

6.4 Financial Data Limitations

Financial statements displayed are derived from regulatory filings and may differ from audited reports. Projected/forecast figures are algorithmic estimates and should not be relied upon for investment decisions. Historical data availability varies by company and filing compliance.

Article 7

Intellectual Property

7.1 Our Intellectual Property

The SensiBook name, logo, website design, user interface, proprietary algorithms, AI models, data structures, analytics methodologies, and all original content are owned by or licensed to SensiBook and protected by intellectual property laws. You may not copy, modify, or distribute our proprietary materials without permission.

7.2 Underlying Data

The raw corporate data displayed on SensiBook is sourced from public regulatory filings and is not our proprietary content. However, our aggregation, structuring, enrichment, and presentation of this data constitutes our intellectual property and creative work.

7.3 User License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Platform for your internal business purposes. This license does not include rights to sublicense, resell, or create derivative products from our Platform or data.

7.4 Feedback

If you provide feedback, suggestions, or ideas about our Platform, you grant us a royalty-free, worldwide, perpetual license to use and incorporate such feedback into our services without any obligation to you.

Article 8

Limitation of Liability

8.1 Service "As-Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENSIBOOK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM.

8.3 Maximum Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR INR 10,000, WHICHEVER IS GREATER.

8.4 Third-Party Actions

We are not responsible for the actions, content, or data of third parties, including companies and directors whose information appears on our Platform. Any disputes arising from your use of data about third parties should be directed to those parties, not to us.

Article 9

Indemnification

9.1 Your Indemnification

You agree to indemnify, defend, and hold harmless SensiBook, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: your use of the Platform, violation of these Terms, infringement of third-party rights, or misuse of data obtained through our services.

9.2 Defense & Settlement

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims. You may not settle any claim without our prior written consent if the settlement requires any action or admission by us.

Article 10

Termination

10.1 Termination by You

You may terminate your account at any time by using the account deletion feature or contacting our support team. Upon termination, your right to access the Platform ceases immediately, though certain data may be retained as described in our Privacy Policy.

10.2 Termination by Us

We may terminate or suspend your access immediately, without prior notice, for any reason including: breach of Terms, fraudulent activity, non-payment, abuse of the Platform, legal requirements, or discontinuation of services. We will provide notice when reasonably practicable.

10.3 Effects of Termination

Upon termination: your license to use the Platform terminates; you must cease all use and destroy any downloaded data (except as permitted for your records); accrued rights and obligations survive; Sections on Intellectual Property, Liability, Indemnification, and Governing Law survive termination.

Article 11

Governing Law & Disputes

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. The Information Technology Act, 2000 and Consumer Protection Act, 2019 shall apply where relevant.

11.2 Dispute Resolution

Any dispute arising from these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If negotiation fails within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996.

11.3 Jurisdiction

The courts of Bangalore, Karnataka, India shall have exclusive jurisdiction for any disputes not resolved through arbitration, or for interim relief pending arbitration. You consent to the personal jurisdiction of these courts.

11.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in class action lawsuits against SensiBook.

Article 12

Miscellaneous Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and SensiBook regarding the Platform, superseding all prior agreements and understandings.

12.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed, and the remaining provisions shall continue in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of SensiBook.

12.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

12.5 Notices

We may provide notices to you via email to your registered address, through in-Platform notifications, or by posting on our website. You may provide notices to us at legal@sensibook.com. Notices are effective upon receipt or 24 hours after posting.

12.6 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond reasonable control, including natural disasters, war, terrorism, riots, government actions, pandemic, or infrastructure failures.
